(b)~DownPaymentPercentWord~ per centum (~DownPaymentPercent~%) of the Purchase Price (not inclusive of the Earnest Deposit) shall be paid upon signing of the Sale and Purchase Agreement (”SPA”) by the Purchaser.
(c) The remaining ~BalancePercentWord~ per centum (~BalancePercent~%) of the Purchase Price shall be paid within ~BalanceMonthWord~ calendar (~BalanceMonth~) days from the date of SPA or receipt of consent from the Developer and/or the relevant authorities (whichever is later and applicable) with an extended period of ~PaymentBeforeWord~ calendar (~PaymentBefore~) days subject to late payment interest of ~InterestWord~ per centum (~Interest~%) per annum calculated on a daily basis on the balance purchase price or part thereof which is still outstanding.
3. Possession: (a) Vacant possession to be delivered or (b) Possession with tenancy, to be deemed delivered in accordance with the terms and conditions in the SPA. [Choose either (a) OR (b). Delete whichever is not applicable].
4. Encumbrance: This offer is subject to the Vendor delivering to the Purchaser a valid and registrable transfer for the aforesaid property free from any charges or encumbrances at the date when the final payment is made to the Vendor.
5. Fitting & Fixtures: The Purchase Price shall include fittings and furnishing as per attached inventory (if any).
6. Execution: The SPA shall be signed by both parties within ~SignBeforeWord~ (~SignBefore~) working days from the date of acceptance of this offer by the Vendor provided that all the terms and conditions of the SPA have been agreed by the Parties and further provided that there is no unreasonableness on either party’s solicitors in agreeing to the terms of the SPA. In the event the SPA is not signed within the aforesaid period by:
a) the Purchaser PROVIDED THAT there is no undue delay on the part of the Vendor or the Vendor's Solicitors, the Earnest Deposit shall be automatically forfeited by the Vendor as agreed liquidated damages, which shall be shared equally between the Vendor and ~CompanyDisplayNameContent~;
(b) the Vendor PROVIDED THAT there is no undue delay on the part of the Purchaser or the Purchaser's Solicitor, the Earnest Deposit without interest shall be refunded to the Purchaser, plus a sum equivalent to the Earnest Deposit as agreed liquidated damages which shall be shared equally between the Purchaser and ~CompanyDisplayNameContent~;
Thereafter, this Agreement shall terminate and be of no further force and effect whatsoever and neither party shall have any claim against each other.
7. Termination: The Parties hereby unconditionally and irrevocably agree that:
(a) In the event the sale and purchase transaction is aborted before the execution of the SPA, an amount equivalent to Fifty per centum (50%) of the Earnest Deposit being the agreed agency fees shall be paid to ~CompanyDisplayNameContent~.
(b) In the event SPA has been executed by the Parties but terminated subsequently for any reasons whatsoever (save and except for rejection of the Consent to Transfer by the relevant State Authorities where consent is required) the Parties shall have no claim or legal recourse against ~CompanyDisplayNameContent~ for the Earnest Deposit.
8. Costs: All stamp duty and other similar fees shall be borne by the Purchaser and each Party shall bear their own solicitors' fees.
9. Binding Contract: The Offer to Purchase shall constitute a binding contract which shall be superseded only upon execution of the SPA by both parties.

GENERAL AUTHORISATION TO SELL ~BookingNumberAL~

I/We ~Owner~~Owner2Custom~(NRIC No. ~OwnerNRIC~~OwnerNRIC2Custom~) the registered/beneficial owner(s) (”the Vendor”) for the property held under the title ~TitleNo~ bearing the postal address ~Address~ (”said Property”) hereby appoint ~CompanyDisplayNameContent~ to be my/our AGENT to sell the said Property to any Purchaser(s) at the selling price of RM ~Price~(Ringgit Malaysia ~PriceWord~) or the nearest offer to be agreed by the Vendor (”Purchase Price”) subject to the following terms and conditions:-
1. In consideration of the said Agency providing the service for the sale of the said Property, the Vendor hereby agrees to pay the Agency a professional fee equivalent to ~CommissionPercent~% of the sale price of the said Property or a professional fee equivalent to RM~Commission~, plus ~TaxPercent~% Service Tax (SST) on the professional fees upon the sale of the said Property to any Purchaser(s) procured and/or introduced by the said Agency on the terms specified herein and upon the execution of the formal Sale & Purchase Agreement (SPA); OR
2. The said Agency is hereby authorized to collect and accept from the Purchaser(s) on behalf of the Vendor a sum equivalent to ~BookingFeePercent~% of the purchase price or best offer (”Earnest Deposit”) as Stakeholder. The said Agency is authorized to deduct the said professional fee and SST due from the earnest deposit and execution of the SPA before releasing the balance (if any) to the Vendor. In the event of the said Earnest Deposit is insufficient to pay the said Agency full professional fees and SST, the Vendor hereby undertakes and agrees to make good of the shortfall immediately.
3. In the event Earnest Deposit has been paid and the sale transaction is aborted by the Vendor or by the Purchasers(s) before the execution of the SPA, the Vendor agrees to pay the said Agency a professional fee equivalent to 50% of the Earnest Deposit or forfeitable deposit or 50% of the agreed full fees, whichever is lesser, plus the relevant applicable SST.
4. The Vendor agrees to fully indemnify the said Agency against all losses/damages/claims by the Purchasers(s) if the Vendor for any reason fails to execute, or does not proceed with the execution of the SPA after the Earnest Deposit has been paid or collected.
5. The Vendor hereby authorizes the said Agency to utilize any form of advertisement to promote the selling of the said Property, including but not limited to putting up a “For Sale” signboard at the said Property or to advertise the said Property to any form of media.
6. The instruction contained herein is given to the said Agency in the Vendor’s capacity as: (DELETE whichever not applicable)
a) The registered proprietor / absolute beneficial owner of the said Property; or
b) Trustee for the legal owner(s) of the said Property / Personal Representative (Executor / Administrator) of the owner(s) (deceased); or
c) Attorney of the registered proprietor / duly authorized representative of the Owner(s) pursuant to a Power of Attorney dated ~AttorneyDate~
7. Terms and Conditions of Sale:
a) ~InclusiveEarnestDepositPercent~% of the Purchase Price of the Property (inclusive of earnest deposit) to be paid by the Purchaser(s) upon execution of the SPA.
b) The balance ~BalancePercent~% of the Purchase Price is to be paid within ~BalanceMonthWord~ (~BalanceMonth~) months from the date of execution of the SPA OR date of receipt by the Purchaser’s Solicitor’s of the Developer’s Confirmation / Developer’s consent / State Authority Consent / Statutory Body Consent and/or the issuance of the Certificate of Completion and Compliance / Certificate of Fitness, whichever is later and whichever is applicable. An extension of a further ~GracePeriod~ days (~GraceMonth~) months maybe granted to the Purchaser(s) to enable him to settle in full whatever is the outstanding balance, provided interest is chargeable on the unpaid balance at ~Interest~% (~InterestWord~ percent) per annum calculated on a day to day basis.

b) Even if the said Property is sold, or contacted to be sold, by the Vendor personally, or through any other person, or agent other than through the said Agency during the Exclusive Period or early termination/revocation of this Exclusive Authorization, if any; OR
c) Even if after the expiry of the Exclusive Period, the Vendors enter into a formal SPA with a Purchaser’s who was introduced or procured by the said Agency prior to the expiry of the Exclusive Period.
2. This Exclusive Authorization to Sell the said Property shall remain valid during the Exclusive Period. The said Exclusive Agency shall expire at the end of the term unless it is renewed by the Vendor and the said Agency by mutual consent.
3. The said Agency is hereby authorized to collect and accept from the Purchaser(s) on behalf of the Vendor a sum equivalent to ~BookingFeePercent~% of the purchase price (”Earnest Deposit”) as Stakeholder, and the said Agency is authorized to deduct the said professional fee and ~TaxPercent~% of SST due from the earnest deposit and execution of the SPA before releasing the balance (if any) to the Vendor. In the event of the said Earnest Deposit is insufficient to pay the said Agency full professional fees and ~TaxPercent~% of SST, the Vendor hereby undertakes and agrees to make good of the shortfall immediately.
4. 11. Execution : The Tenancy Agreement shall be signed by both parties within ~ExecutionDaysWord~ (~ExecutionDays~) working days from the date of acceptance of this offer by the Landlord provided that all the terms and conditions to the Tenancy Agreement have been agreed by both parties and further provided that there is no unreasonableness of either party in agreeing to the terms in the Tenancy Agreement. In the event the Tenancy Agreement has not been signed within the aforesaid period by:
(a) the Tenant PROVIDED THAT there is no undue delay on the part of the Landlord or the Landlord's Solicitors, the Earnest Deposit shall be automatically forfeited by the Landlord as agreed liquidated damages, which shall be shared equally between the Landlord and ~CompanyDisplayNameContent~;
(b) the Landlord PROVIDED THAT there is no undue delay on the part of the Tenant or the Tenant's Solicitor, the Earnest Deposit shall be refunded to the Tenant, free from interest plus a sum equivalent to the Earnest Deposit as agreed liquidated damages which shall be shared equally between the Tenant and ~CompanyDisplayNameContent~;
Thereafter, this Agreement shall terminate and be of no further force and effect whatsoever and neither party shall have any claim against each other.
12. Termination :
The Parties hereby unconditionally and irrevocably agree that:
(a) In the event the tenancy transaction is aborted before the execution of the Tenancy Agreement, an amount equivalent to Fifty per centum (50%) of the Earnest Deposit being the agreed agency fees shall be paid to ~CompanyDisplayNameContent~; and
(b) In the event the Tenancy Agreement has been executed by the parties but terminated subsequently for any reasons whatsoever, the Parties shall have no claim or legal recourse against ~CompanyDisplayNameContent~ for the Earnest Deposit.

GENERAL AUTHORISATION TO LET ~BookingNumberAL~

In the event of the said Earnest Deposit is insufficient to pay the said Agency full professional fees and SST, the Landlord hereby undertakes and agrees to make good of the shortfall immediately.
3. In the event Earnest Deposit or forfeitable deposit has been paid and the rental transaction is aborted by the Landlord or by the Tenant(s) before the execution of the Tenancy Agreement, the Landlord agrees to pay the said Agency a professional fee equivalent to 50% of the Earnest Deposit or forfeitable deposit or 50% of the agreed full fees, whichever is lesser, plus the relevant applicable SST.
4. The Landlord agrees to fully indemnify the said Agency against all losses/damages/claims by the Tenant(s) if the Landlord for any reason fails to execute, or does not proceed with the execution of the Tenancy Agreement after the Earnest Deposit has been paid or collected.
5. The Landlord hereby authorizes the said Agency to utilize any form of advertisement to promote the rental of the said Property, including but not limited to putting up a “To Let” signboard at the said Property or to advertise the said Property to any form of media.

b) Even if the said Property is rented, or contacted to be rented, by the Landlord personally, and enters to a formal Tenancy Agreement with a Tenant who was introduced or procured by the said Agency prior to the expiry of the Exclusive Period; OR
c) Even if after the expiry of the Exclusive Period, the Landlord enters into a Tenancy Agreement with a Tenant(s) who was introduced and/or procured by the said Agency prior to the expiry of the Exclusive Period.
2. This Exclusive Authorization to Let the said Property shall remain valid during the Exclusive Period. The said Exclusive Agency shall expire at the end of the term unless it is renewed by the Landlord and the said Agency by mutual consent.
3. The said Agency is hereby authorized to collect and accept from the Tenant(s) on behalf of the Landlord a sum equivalent to 1 (one) month’s rental or any sum subsequently agreed by the Landlord (”Earnest Deposit”) as Stakeholder. The said Agency is authorized to deduct the said professional fee and SST due from the earnest deposit before releasing the balance (if any) to the Landlord. In the event of the said Earnest Deposit is insufficient to pay the said Agency full professional fees and SST, the Landlord hereby undertakes and agrees to make good of the shortfall immediately.

In the event Earnest Deposit has been paid and the rental transaction is aborted by the Landlord or by the Tenant(s) before the execution of the Tenancy Agreement, the Landlord agrees to pay the said Agency a professional fee equivalent to 50% of the Earnest Deposit or forfeitable deposit or 50% of the agreed full fees, whichever is lesser, plus the relevant applicable SST.
5. The Landlord agrees to fully indemnify the said Agency against all losses/damages/claims by the Tenant(s) if the Landlord for any reason fails to execute, or does not proceed with the execution of the Tenancy Agreement after the Earnest Deposit has been paid or collected.
6. The Landlord hereby authorizes the said Agency to utilize any form of advertisement to promote the rental of the said Property, including but not limited to putting up a “To Let” signboard at the said Property or to advertise the said Property to any form of media or internet.
7. The instruction contained herein is given to the said Agency in the Landlord’s capacity as: (DELETE whichever not applicable)
a) The registered proprietor / absolute beneficial owner of the said Property; or
b) Trustee for the legal owner(s) of the said Property / Personal Representative (Executor / Administrator) of the owner(s) (deceased); or
c) Attorney of the registered proprietor / duly authorized representative of the Owner(s) pursuant to a Power of Attorney dated ~AttorneyDate~
